Terms of Service

Welcome to Live3D.io. These Terms of Service (“Terms”) govern your access to and use of the Live3D.io website, applications, tools, and related services (collectively, the “Service”) operated by the operator of Live3D.io (“Live3D,” “we,” “us,” or “our”).

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.

1. The Service

Live3D provides creative software and online tools for virtual avatar creation, avatar editing, image generation, image processing, and related digital content workflows. Depending on the product or feature, the Service may include avatar tools, visual editing tools, AI-powered image generation, image enhancement, style transformation, background editing, asset creation, and similar creative features. Public product descriptions for Live3D also present VTuber/avatar editing and creation functions such as VRM upload, avatar customization, background editing, and animation-related tooling.

Some parts of the Service may be offered through web interfaces, desktop software, third-party distribution platforms, or integrations with external services.

2. Eligibility

You must be at least 13 years old, or the minimum age required by the laws of your country or region to use the Service, whichever is higher.

If you are under the age of majority in your jurisdiction, you may use the Service only with the consent and supervision of a parent or legal guardian.

By using the Service, you represent and warrant that:

  • you have the legal capacity to enter into these Terms;
  • your use of the Service does not violate any applicable law or regulation;
  • all information you provide to us is true, current, and complete.

3. Accounts

Certain features may require you to create an account.

You are responsible for:

  • maintaining the confidentiality of your login credentials;
  • all activities that occur under your account;
  • ensuring that your account information remains accurate and up to date.

You must not share your account with others or allow unauthorized access to your account. We may suspend or terminate accounts that are used in violation of these Terms or that present security, legal, or abuse risks.

4. Subscriptions, Paid Features, and Billing

Some features of the Service may require payment, including subscriptions, credits, premium tools, or paid digital services.

By purchasing a paid feature, you agree that:

  • you will pay all applicable fees shown at checkout;
  • recurring subscriptions, if offered, may renew automatically unless cancelled before the renewal date;
  • you authorize us and our payment processors to charge your selected payment method for applicable fees, taxes, and renewals.

No Refunds

All purchases are final and non-refundable unless otherwise required by applicable law.

This means:

  • we do not provide refunds for unused subscription time;
  • we do not provide refunds for unused credits;
  • we do not provide refunds based on dissatisfaction with creative results, model outputs, or personal preference;
  • we do not provide partial or prorated refunds after a billing cycle has started.

You are responsible for reviewing the pricing, features, and compatibility of the Service before making a purchase.

5. License to Use the Service

Subject to your compliance with these Terms, Live3D grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your personal or internal business use.

You may not:

  • copy, modify, distribute, sell, license, rent, lease, or exploit any portion of the Service except as expressly permitted by us;
  • reverse engineer, decompile, disassemble, or otherwise attempt to derive source code or underlying models, algorithms, or systems, except where prohibited by law from restricting such rights;
  • interfere with or disrupt the Service, servers, or networks;
  • bypass rate limits, access controls, content restrictions, or safety systems;
  • use the Service to build or train a competing service or model without our prior written consent;
  • use bots, scripts, scrapers, or automated tools to access the Service in an unauthorized way.

6. User Content

“User Content” means any content you upload, submit, input, import, create, edit, or otherwise provide through the Service, including images, avatars, models, prompts, text, project files, reference materials, and related content.

You retain ownership of your User Content, subject to the rights you grant to us under these Terms.

You grant Live3D a limited, worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, modify, adapt, transmit, and display your User Content solely as necessary to:

  • operate and provide the Service;
  • generate outputs requested by you;
  • maintain security and prevent abuse;
  • debug, improve reliability, and support product performance;
  • comply with legal obligations and enforce these Terms.

This license is limited to operating the Service and does not grant us ownership of your User Content.

7. AI Features, Inputs, and Outputs

The Service may include AI-powered generation or editing features that create or transform images and other creative materials (“AI Features”). AI Features may be provided by Live3D and/or supported by third-party providers. Public descriptions of the Live3D ecosystem also reference AI avatar and AI art capabilities.

AI Inputs

You may only submit prompts, images, or other input materials that you own or have the necessary rights, permissions, and consents to use.

You are solely responsible for ensuring that your inputs do not violate:

  • copyright, trademark, or other intellectual property rights;
  • privacy rights;
  • publicity or personality rights;
  • contractual restrictions;
  • applicable laws or regulations.

AI Outputs

Content generated by AI Features (“Outputs”) is generated automatically based on user inputs and system processes. Outputs may be unpredictable, may vary in quality, and may be inaccurate, incomplete, unsuitable, or similar to content generated for other users.

You are solely responsible for reviewing and evaluating any Output before using, publishing, sharing, commercializing, or relying on it.

We do not guarantee that any Output will be:

  • accurate;
  • unique;
  • fit for any particular purpose;
  • non-infringing;
  • legally compliant in your jurisdiction.

You are solely responsible for your use of Outputs and for ensuring that your use complies with applicable law and third-party rights.

8. No Training on User Content

We do not use your uploaded User Content for training our AI models.

For clarity, your uploaded images, prompts, and related creative materials are processed to provide the Service requested by you, but are not used by us as training data for our AI models.

This commitment applies unless we clearly notify you otherwise in advance for a separate program or feature and obtain any consent required by applicable law.

9. Acceptable Use

You may not use the Service to:

  • violate any law or regulation;
  • infringe the rights of others;
  • upload or generate content involving child sexual abuse or exploitation, or any sexual content involving minors;
  • create deceptive, fraudulent, or unlawful impersonation content;
  • violate a person’s privacy, likeness, or publicity rights;
  • generate or distribute malicious, abusive, harassing, hateful, defamatory, or unlawful content;
  • attempt to evade safety systems, moderation systems, filters, or account restrictions;
  • upload malware, harmful code, or exploitative content;
  • use the Service in connection with fraud, scams, identity theft, or other deceptive conduct.

You also may not use the Service to create or process content that is unlawful in the applicable jurisdiction, including content that violates local censorship, obscenity, or platform-distribution rules.

We reserve the right to block, remove, restrict, review, or disable content or accounts where we reasonably believe there is a violation of these Terms, legal risk, security risk, or abuse risk.

10. Moderation and Safety

We may use automated tools, manual review, or a combination of both to detect abuse, enforce these Terms, and maintain platform safety.

This may include:

  • blocking certain prompts, uploads, requests, or outputs;
  • limiting feature access;
  • removing content;
  • suspending or terminating accounts.

You acknowledge that moderation systems are not perfect and may sometimes incorrectly allow, restrict, or remove content.

11. Intellectual Property

The Service, including its software, code, interfaces, design, branding, trademarks, logos, workflows, and underlying technology, is owned by Live3D or its licensors and is protected by intellectual property and other applicable laws.

Except as expressly permitted in these Terms, nothing grants you any right, title, or interest in or to the Service or our intellectual property.

12. Third-Party Services

The Service may contain links to, integrations with, or dependencies on third-party services, platforms, payment processors, software distributors, or AI model providers.

Your use of third-party services is governed by their own terms, policies, and practices. We are not responsible for third-party services or any loss or damage arising from your use of them.

13. Privacy

Your use of the Service is also subject to our Privacy Policy. By using the Service, you acknowledge that we may collect, use, and process information as described in our Privacy Policy.

14. Termination and Suspension

You may stop using the Service at any time.

We may suspend, restrict, or terminate your access to the Service, with or without notice, if:

  • you violate these Terms;
  • we are required to do so by law;
  • your use presents legal, security, fraud, abuse, or reputational risk;
  • your payments fail or are reversed;
  • we discontinue the Service or a part of it.

Upon termination, your right to use the Service immediately ends. Sections that by their nature should survive termination will survive, including sections relating to payments, intellectual property, disclaimers, limitations of liability, indemnity, and dispute resolution.

15. Disclaimers

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LIVE3D DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND QUIET ENJOYMENT.

We do not warrant that:

  • the Service will be uninterrupted, secure, or error-free;
  • the Service will always be available;
  • defects will be corrected;
  • outputs will be accurate, original, lawful, suitable, or non-infringing;
  • the Service will meet your expectations or business needs.

Any reliance on the Service or any Output is at your own risk.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LIVE3D AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF LIVE3D FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF:

  • THE AMOUNT YOU PAID TO LIVE3D IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR
  • SGD 100.

Some jurisdictions do not allow certain exclusions or limitations, so some of the above may not apply to you to the extent prohibited by law.

17. Indemnity

You agree to defend, indemnify, and hold harmless Live3D and its affiliates, officers, directors, employees, licensors, contractors, and service providers from and against any claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable legal fees, arising out of or related to:

  • your use of the Service;
  • your User Content, inputs, or Outputs;
  • your violation of these Terms;
  • your violation of any law or the rights of any third party.

18. Governing Law and Dispute Resolution

These Terms and any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be governed by the laws of Singapore, without regard to conflict of law principles.

You agree that the courts of Singapore shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or the Service, except where applicable law requires otherwise.

19. Changes to These Terms

We may update these Terms from time to time.

If we make material changes, we will post the updated Terms on the Service and update the “Last Updated” date above. Your continued use of the Service after updated Terms become effective constitutes your acceptance of the revised Terms.
